Uplevel Continuing Professional Development Corporation ("Uplevel CPD") maintains this website, any courses offered and other linked and related sites (the “Site”) for the use of its customers, students, vendors and other Site users (“Users”) upon agreement to the following terms. Please read the terms carefully before using the Site. Use of this website indicates acceptance of these “Terms of Use” and forms a binding agreement between you and Uplevel CPD. If you do not agree to these terms, please do not use this Site.

1. Use of Site

Uplevel CPD provides various materials, workbooks, reference sheets, slide decks, quizzes, tests, questions, articles, news and other materials and information on this Site and in courses offered through this Site (the “Materials”). Uplevel CPD authorizes each User to view and download and print one copy of the Materials for his or her personal use, provided that such User retains all copyright and other proprietary notices contained in the original Materials. Users may not modify the Materials from this Site in any way or reproduce, share or distribute them. Users will keep all Materials confidential, and will not sell, auction, loan, rent, give away, describe, summarize, or otherwise reveal the Materials or their contents to any other person or entity. Any breach of these Terms of Use automatically terminates your authorized use of the Site.

2. No Warranty

The Materials provided on this Site are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose or non-infringement of intellectual property rights. Uplevel CPD does not warrant the accuracy and completeness of the Materials on this Site or the courses offered on this Site. 

This Site and courses offered on this Site may discuss areas of substantive law and practice standards and ethical and professional obligations of lawyers and provide examples of situations where competing standards may exist in a legal practice. However, this Site and courses offered on this Site do not advise how those situations should be resolved nor do they contain or offer legal advice. It is the responsibility of Users to understand and consider the standards expected of them as lawyers and if Users are not sure about any aspect of substantive law or their legal, professional or ethical obligations in a particular situation, then it is their responsibility to conduct independent legal research and/or discuss their questions or concerns with a colleague or competent advisor, including, but not limited to, a practice advisor at the Law Society, a Bencher or a lawyer retained by the User to provide specific legal advice. Nothing contained on this Site or in courses offered on this Site constitutes legal advice nor should it be construed as such.

Uplevel CPD may make changes to the Materials on this Site, or to the services and prices described in them, at any time without notice. The Materials on this Site may become out of date and Uplevel CPD makes no commitment to update the Materials on this Site.

3. Limitation of Liability

In no event will Uplevel CPD, its suppliers, or other third parties mentioned on this Site be liable for any damages whatsoever (including, without limitation, those resulting from interruption of services or inaccurate information) arising out of the use, inability to use, or the results of the use of this Site, any websites linked to this Site, or the Materials or information contained at any or all such sites, whether based on warranty, contract, tort or any other legal cause of action or any equitable cause of action and whether or not the User has been advised of the possibility of such damages.

The Users are solely responsible for creating and implementing their own decisions, choices, actions and results arising out of or resulting from the lessons and exercises contained in courses and Materials offered on this Site and the Users agree that Uplevel CPD and its employees, agents, directors, shareholders, principals, representatives, instructors, coaches, related companies, affiliates, successors or assigns will not be liable or responsible, in law or in equity, for any loss or damage whatsoever, any action or inaction or any direct or indirect results of any services provided by Uplevel CPD related in any way to courses or Materials offered on this Site. The Users acknowledge any action or inaction on their part that incorporate coaching principles or any other aspect of the courses offered on this Site is exclusively the Client’s responsibility.

4. User Warranty

As a User you warrant that you are using this Site and Materials solely for the purpose of furthering your continued professional development and you are not an agent or employee of any other organization that provides executive coaching services or continuing professional development courses to lawyers.

5. Trademark and Copyright

Uplevel CPD and certain other brands, trademarks, and service marks are marks of Uplevel CPD and related entities. The Materials on this Site are copyrighted, and any unauthorized use of any Materials on this Site may violate copyright, trademark and other laws. Uplevel CPD reserves its rights to prosecute in respect of any violations of its intellectual property rights.

Links to external websites are provided solely as a convenience to its Users. Uplevel CPD has not reviewed all of these external websites. Uplevel CPD does not control and is not responsible for any of these sites or their content. If you decide to access any of the external websites linked to this Site, you do so entirely at your own risk.

7. Applicable Law

These Terms of Use are governed by the laws of the province of British Columbia, Canada. Failure to enforce strict performance of the Terms of Use shall not be construed as a waiver of any provision or right. Uplevel CPD may assign its rights and duties under the Terms of Use without notice to any party at any time.

8. Geographic location

If you, as a User, purchase Materials from this Site or Uplevel CPD while outside of Canada, you may not use or access the materials while in Canada.

9. Effective Date and Updates

These Terms of Use are effective as of February 22, 2019 and are subject to change without notice by Uplevel CPD at any time. Please check for changes regularly. Your use of this Site after such changes constitutes your agreement to such changes.
